- "Client" or "You" refers to the individual or organization engaging our services or accessing our website.
- "We," "Us," or "Our" refers to Cortex Digital.
- "Agreement" refers to these Terms and Conditions plus any specific project agreements or statements of work.
- "Deliverables" refers to work products specified in service agreements.
2. Acceptance of Terms
By submitting an inquiry, entering into a service agreement, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
You must be at least 18 years old and have the legal capacity to enter into binding agreements. If engaging services on behalf of an organization, you represent that you have authority to bind that organization to these terms.
3. Service Description
Cortex Digital provides professional services related to artificial intelligence implementation, including conversational interface development, data pipeline design and implementation, and ethics assessments of AI systems.
Specific service details, scope, deliverables, and timelines are outlined in individual service agreements or statements of work. Services are provided subject to availability and our acceptance of engagement.
We reserve the right to modify service offerings, though existing contractual commitments will be honored according to their terms.
4. Client Responsibilities
Information Provision
Clients must provide accurate, complete information necessary for service delivery. This includes access to relevant systems, data, and personnel as agreed in project scope. Delays caused by incomplete information may affect project timelines.
Cooperation
Clients agree to cooperate reasonably with our requests for information, feedback, and approvals necessary for service delivery. Timely responses to requests help maintain project schedules.
Acceptable Use
Clients must use deliverables in compliance with applicable laws and regulations. You may not use our services for any unlawful purpose or in any way that violates these terms. You are responsible for ensuring your use of AI systems complies with relevant regulations.
5. Intellectual Property
Our Intellectual Property
All methodologies, tools, frameworks, and general knowledge used in providing services remain our intellectual property. This includes documentation templates, assessment frameworks, and implementation approaches developed by us.
License to Deliverables
Upon full payment, clients receive a non-exclusive license to use deliverables for their internal business purposes. This license does not include the right to resell, redistribute, or use deliverables to provide services to third parties without our written consent.
Client Data
Clients retain all rights to data they provide. We do not claim ownership of client data but may use such data as necessary to deliver services. We will not disclose client data to third parties except as required for service delivery or by law.
6. Payment Terms
Pricing and Fees
Service pricing is specified in individual service agreements or quotations. All prices are in Singapore Dollars (SGD) unless otherwise stated. Prices exclude applicable taxes unless explicitly stated as inclusive.
Payment Schedule
Payment terms are specified in service agreements. Typical arrangements include partial payment upfront with remaining balance upon completion. Invoices are payable within 30 days unless otherwise agreed.
Late Payment
Late payments may incur interest charges at rates permitted by Singapore law. Persistent late payment may result in suspension of services or contract termination. We reserve the right to require advance payment from clients with payment history concerns.
7. Service Delivery Terms
Project Scope
Services are delivered according to agreed scope in service agreements. Changes to scope may affect timelines and pricing. We will communicate any necessary scope adjustments and obtain client approval before proceeding.
Timeline Estimates
Project timelines are estimates based on information available at project commencement. Actual timelines may vary due to factors including client responsiveness, complexity discoveries, or technical challenges. We will communicate promptly about timeline impacts.
Deliverable Acceptance
Deliverables are subject to client review and acceptance. Clients have reasonable time (typically 14 days) to review deliverables and provide feedback. Deliverables are deemed accepted if no substantive feedback is provided within the review period.
8. Disclaimers
Service Provision
Services are provided based on professional judgment and industry practices. While we strive for high-quality outcomes, we cannot guarantee specific results from AI implementations as these depend on many factors beyond our control.
No Warranties
Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability or fitness for particular purpose. We do not warrant that services will meet all client requirements or operate error-free.
Professional Advice
Our services include professional recommendations but do not constitute legal, regulatory, or compliance advice. Clients remain responsible for ensuring their AI implementations comply with applicable laws and regulations.
9. Limitation of Liability
To the maximum extent permitted by Singapore law, our total liability for any claims arising from services shall not exceed the fees paid by the client for the specific service giving rise to the claim.
We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
This limitation applies to claims based on contract, tort, strict liability, or any other legal theory. Nothing in these terms limits liability for death or personal injury caused by negligence or for fraud.
10. Termination
Termination by Either Party
Either party may terminate a service agreement by providing 30 days written notice. Termination does not relieve the client of payment obligations for work completed or expenses incurred prior to termination date.
Immediate Termination
We may terminate services immediately if client breaches material terms, fails to make required payments, or engages in conduct that poses legal or reputational risk to us.
Effects of Termination
Upon termination, we will provide deliverables completed to termination date. Client remains obligated to pay for work performed. Confidentiality obligations survive termination. Licenses to completed deliverables remain in effect upon full payment.
11. Dispute Resolution
Informal Resolution
In the event of any dispute, parties agree to first attempt informal resolution through good faith discussions. Either party may initiate this process by providing written notice of the dispute to the other party.
Governing Law and Jurisdiction
These terms are governed by the laws of Singapore. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of Singapore courts.
12. General Provisions
Entire Agreement
These Terms and Conditions, together with any service agreements or statements of work, constitute the entire agreement between parties and supersede all prior discussions or understandings.
Severability
If any provision of these terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and other provisions will remain in full effect.
Assignment
Clients may not assign rights or obligations under these terms without our written consent. We may assign our rights and obligations to affiliated entities or successors in business.
Notice
Notices under these terms must be in writing and sent to the contact information provided. Notices are deemed delivered when sent by email or three days after mailing by registered post.
13. Changes to Terms
We may update these Terms and Conditions periodically. Changes will be posted on our website with an updated effective date. Material changes will be communicated to active clients. Continued use of services after changes indicates acceptance of updated terms. Existing service agreements remain subject to the terms agreed at contract signing unless amended by mutual agreement.
